America’s Top Professionals Membership Benefits

America’s Top Professionals exists to serve its members, and strives to maximize the value of its memberships by providing America’s most value-added, secure forum designed exclusively for professional men and women to grow socially and professionally. America’s Top Professionals provides both complimentary and paid levels of memberships:

Initial Membership : Unlike many networking organizations, which typically require a fee for inclusion, you are eligible for a free Initial Membership. While this membership is not interactive and does not permit you to use the Services beyond what is described on our BENEFITS page, you do receive those benefits entirely for free and without further obligation.

Paid Membership Levels : Our experience and research has shown that our members experience success in proportion to the degree of commitment they give to their membership and active participation they experience with other members. To maximize our members’ opportunities, America’s Top Professionals invests significant resources in developing an exclusive physical and digital magazine for our paid members, at various levels.

Each paid membership is a one time payment with no annual dues or fees. Membership includes different settings of page layouts as well as different amounts of copies reserved for each setting.

Membership Sales / Cancellation Policy

As discussed, America’s Top Professionals starts delivering its services immediately upon the membership sale. At that time, America’s Top Professionals pays to enroll you in its third-party programs, to complete and manage your profile, and for each of your setting-specific benefits. As your membership coordinator explains during your sales call, all of America’s Top Professionals membership sales are considered final and fully-consummated after 30 days from the time of the sale. 

America’s Top Professionals is NOT affiliated with any other organizations or industry publications, including, but not limited to: Marquis Who’s Who; Who’s who in America; or any of their subsidiaries or affiliates.

USE OF MEMBER DATABASE

America’s Top Professionals expressly reserves the right to use all information members provide in association with their profiles, including name, geographic data, professional data, and other information, as Top 100 Registry sees fit, keeping in mind that we are very judicious with the use of our members’ information and make every effort to identify opportunities that are beneficial to our members.

Use of Services and Proprietary Information

The Services and all information provided within the Services are the intellectual property of America’s Top Professionals and are therefore proprietary to America’s Top Professionals (“Proprietary Information”). As such, all users of this website, the Services or Proprietary Information agree that the Proprietary Information is protected by U.S. and international copyright, trademark and/or other intellectual property laws, and that the unauthorized use, copying or appropriation of the Proprietary Information may subject the user to civil and/or criminal liability.

America’s Top Professionals makes its Proprietary Information available only to members, for the express purpose of furthering America’s Top Professionals' mission. The provision of Proprietary Information constitutes a limited, non-exclusive, non-transferable license, granted only for this purpose and no other. Users acknowledge that the Services are subject to change according to the needs of America’s Top Professionals’ members, as determined solely by America’s Top Professionals and without specific notice to users. Users further acknowledge that circumstances may arise in which the Services are found to contain errors or other deficiencies, but that America’s Top Professionals shall have no liability to users in the event such circumstances arise. In addition, users agree that interruptions may periodically occur, and that America’s Top Professionals shall have no liability to users for such interruptions. Specifically, users agree that they have assumed these risks in exchange for the benefits America’s Top Professionals provides through its Services and other offline opportunities.

Users may not engage in any of the following conduct with respect to any of America’s Top Professionals’ Proprietary Information, including Proprietary Information found or hosted on third-party sites, social media platforms, etc. All such conduct is forbidden, and users agree that the following types of conduct may give rise to civil or criminal liability:

• Reproduction, in any form by any means and through any forum, of the Proprietary Information without the express written authorization of America’s Top Professionals

• Modification, distribution or republication of the Proprietary Information for any purpose other than that of furthering the America’s Top Professionals mission

• Transfer of the Proprietary Information to any other person, entity or third-party without the express written authorization of America’s Top Professionals

• Removal of or obscuring any copyright, trademark or other proprietary notices from the Proprietary Information

• Granting any non-member or other third-party access to or use of the Services or Proprietary Information without written authorization of America’s Top Professionals

• Participation in any conduct which disrupts or in any way interferes with the intended use or operation of the Services

• Participation in any conduct which in any way interferes with another member’s use of the Services

• Participation in any conduct which in any way attempts to reverse-engineer any of the Services or Proprietary Information, or which in any other way attempts to decompile any of the Proprietary Information

• Participation in any conduct which otherwise violates the Terms and Conditions

Users specifically acknowledge that the Services and Proprietary Information may contain America’s Top Professionals' copyrighted material as well as its trade/service marks. Users further acknowledge that nothing in these Terms & Conditions, or any other aspect of membership, confers upon users any ownership interest in America’s Top Professionals’ copyrighted material or marks, and that such ownership rests exclusively with Top 100 Registry. Finally, users agree that they have no interest in any intellectual property belonging to third-parties but licensed to America’s Top Professionals’ use in association with the Services or Proprietary Information. Any attempt to alter, remove, copy or otherwise misappropriate any such intellectual property shall be deemed a material breach, subjecting the user to forfeiture of membership as well as civil and/or criminal liability America’s Top Professionals’ sole discretion, a user is found to be in breach of these terms, America’s Top Professionals reserves the right to terminate the offending user’s license(s) as well as their membership status. America’s Top Professionals expressly reserves all other rights and remedies that may be available in the event of such a breach.

Confidentiality of Proprietary Information

Users agree that all Proprietary Information is confidential and that the sole ownership of such information rests with America’s Top Professionals and shall not be transmitted in any manner without the express, written authorization of America’s Top Professionals. Users further agree that all Proprietary Information is trade secret-protected, in that it is independently valuable, not generally known within the industry outside of America’s Top Professionals and its limited licensees to whom it is provided solely in furtherance of America’s Top Professionals’ mission, provides Top 100 Registry with a competitive advantage in the marketplace, kept secret and subject to reasonable safeguards within the America’s Top Professionals organization and released only to those with a need to know or in accordance with a limited license, and not subject to reverse-engineering or independent discovery or duplication without substantial expertise or by improper means.

Users specifically agree that any unauthorized use of the Proprietary Information constitutes unlawful misappropriation as defined by the Uniform Trade Secrets Act, Section 757 of the Restatement of Torts, and various state and federal statutes.

Further, users agree that their uses of the Proprietary Information under the limited license granted herein shall be solely in furtherance of the Mission. Users acknowledge that any other use of Proprietary Information, including but not limited to unauthorized copying, editing or publication to third-parties, constitutes misappropriation which may subject the offending user to civil and/or criminal liability as well as the remedies set forth above.

Finally, users acknowledge that Proprietary Information shall not be used in any circumstances detrimental to or competitive with America’s Top Professionals, and that any such misuse may subject the offending user to civil and/or criminal liability as well as the remedies set forth above.in breach of these terms, America’s Top Professionals reserves the right to terminate this license as well as the offending user’s membership status. America’s Top Professionals expressly reserves all other rights and remedies available in the event of such a breach.

Non-Disparagement

America’s Top Professionals has invested heavily and takes pride in its customer service and organizational leadership directed at building and maintaining a positive membership community. If any user has questions, comments or concerns about America’s Top Professionals membership, they may be directed to info@americastopprofessionals.com.

Users agree that any false, inaccurate, misleading, disparaging or otherwise defamatory statements made about America’s Top Professionals and/or its members would cause immediate, irreparable harm to  America’s Top Professionals and its membership community. Therefore, users agree not to engage in any conduct which in any way communicates such statements, including by posting them to any Internet site of any kind, whether controlled by a third-party or the user. In the event any user breaches this agreement, the user further agrees to the following:

• User authorizes America’s Top Professionals to contact the Internet provider in control of the site on which any such statements are posted and demand immediate removal of the statements

• To the extent such statements are posted on a site controlled solely by the user, user agrees to immediately remove the statements upon notification by America’s Top Professionals and, should user refuse to do so, user will be responsible for Top 100 Registry’s reasonable fees and expenses to seek removal of the statements

• User agrees that such statements have caused America’s Top Professionals and/or its membership community to suffer immediate, irreparable harm sufficient to warrant a court to award temporary injunctive relief should such relief be necessary for removal of the statements

• User agrees to cooperate in every respect with regard to the removal of such statements, including to execute any documents necessary to effect the removal

Choice of Law / Arbitration

Users agree that all disputes shall be governed by the law of the State of Florida, without regard to any other principles, including conflicts of law, comity of nations or any United Nations convention. Any dispute arising out of America’s Top Professionals membership or use of the Services or Proprietary Information shall be settled by arbitration in accordance with the rules of the U.S. Arbitration Act, as administered by the American Arbitration Association. Further, users agree that any arbitration award in favor of users under these Terms & Conditions shall not include any consequential, exemplary, special or otherwise punitive damages unless such damages are made non-waivable by applicable statute. Finally, users agree that the result of any such arbitration shall remain confidential and subject to the entry of a suitable non-disclosure.

Complete Agreement

Users agree that these Terms & Conditions and the associated Privacy Policy constitute the complete agreement between them and America’s Top Professionals, and that any other purported agreement, in any form, is wholly superseded.

PRIVACY POLICY

This Privacy Policy is applicable to www.americastopprofessionals and any affiliated site that may be operated by or for America’s Top Professionals (the “Website”). The Website is an Internet property of America’s Top Professionals, Inc. It explains how we collect information from users of the Website and how we use such information. Your continued use of the Website and our services constitutes your acceptance of this Privacy Policy. 

Dissemination of Your Information

We use information about how you interact with our Website in order to personalize it for you, to keep both you safe from harm, and to improve the Website and our services. We use your information to provide requested services and to support core business functions such as: (i) fulfilling your requests for services and communicating with you about those requests; (ii) confirming registration at the Website and servicing your account; (iii) providing customer service and alerting you to the services we provide; (iv) helping us improve and customize our service offerings, Website, and advertising; (v) sending you information about our services; (vi) protecting the security or integrity of our Website and our business; and (vii) analyzing and underwriting your requests for our services. To accomplish these purposes, we may combine personal and non-personal information we collect online with offline information, including information from third parties. We may also share Personally Identifiable Information with third parties, who may contact you to offer products and services. We may employ other people or firms (“Outside Contractors”) to provide services and products, such as credit card processing, fraud screening, order fulfillment and shipment, and website hosting or development. Outside Contractors may sometimes have access to Personally Identifiable Information to the extent necessary to do their work for us, however, we require Outside Contractors to protect the privacy of your Personally Identifiable Information. We also require them not to use or disclose your Personally Identifiable Information for any purpose other than providing us with products or services for which we contracted.

We may disclose your Personally Identifiable Information to third parties in connection with a corporate transaction where all or a portion of our business (including our associated customer lists) is sold or transferred. We also may disclose your Personally Identifiable Information if disclosure is required by law or as part of a lawsuit or government investigation or proceeding. You may also submit information about yourself for inclusion in our directories (a “Biographical Submission”). Our use of Biographical Submissions is not governed by this Privacy Policy. 

CAN-SPAM Act of 2003 Compliance

Moreover, you hereby consent to disclosure of any record or communication to any third party when we, in our sole discretion, determine the disclosure to be appropriate including, without limitation, sharing your e-mail address with other third parties for suppression purposes in compliance with the CAN-SPAM Act of 2003, as amended from time to time. We also reserve the right to release current or past user or borrower and personally identifiable information in situations where we believe in good faith that the law requires it, or that the sharing is necessary to protect the safety, property, or other rights of America’s Top Professionals., our borrowers, our employees, contractors, or any other person. We may also share Personally Identifiable Information with third parties, who may contact you to offer products and services. At any time, you can contact America’s Top Professionals by sending an email to info@americastopprofessionals.com (or call 1-800-901-5219, option 1) to request that we not share your Personally Identifiable Information with third parties.

You may at any time opt out of receiving communications from America’s Top Professionals or third parties by contacting our Information Privacy Manager at the address below. Please note that if you decide to opt out of receiving promotional information or other communications, your change in preference will only affect future contacts; if the information already has been provided to third parties, they may continue to use it. Even if you choose to opt out, we may continue to contact you as necessary regarding any request you have made for services or products from America’s Top Professionals or changes to this Privacy Policy.

Data Security

Securing your information is a company priority. When our registration/application process requests that you provide us with sensitive information and when we store and transmit such sensitive information, that information is encrypted and is protected with SSL encryption software. While we use SSL encryption to protect sensitive information online, we also do everything in our power to protect user information off-line. However, no method of security is 100% effective and we cannot be responsible for the actions of those who may gain unauthorized access to your personal information. America’s Top Professionals Inc. makes no warranties, express, implied or otherwise as to the ultimate effectiveness of these reasonable and appropriate safeguards. All collected information is stored in a technically and physically secure environment. Access to this information is strictly limited, and not accessible to the public. Only employees who need the information to perform a specific job (for example an account representative) are granted access to personal information. Our employees are dedicated to ensuring the security and privacy of all user information. Employees not adhering to our firm policies are subject to disciplinary action. In compliance with applicable federal and state laws, we shall notify you and any applicable regulatory agencies in the event that we learn of an information security breach with respect to your personal information. You will be notified via e-mail in the event of such a breach. Please be advised that notice may be delayed in order to address the needs of law enforcement, determine the scope of network damage, and to engage in remedial measures. Your account information is protected by the password you use to access your online account. Please keep this password confidential. If your browser is capable of SSL (and most are), your account information will be protected during transport across the Internet. We comply with industry standard requirements. These standards require safeguards for handling and securing borrower information. These include using secure networks; encryption or other protection of cardholder data; physical and technical access controls; monitors and tests of security systems; and information security policies.
